Michael, I guess are right about the product keys. Thanks for the hint. As to Atom processor, I think not every model supports 64-bit. Wikipedia says: "Atom implements the x86 (IA-32) instruction set; x86-64 is so far only activated for the Atom 230 and 330 desktop models. N and Z series Atom models cannot run x86-64 code."

"The 32-bit license keys for Vista don’t work for Vista x64 and you have to order the 64-bit DVD separately if you want to switch from 32-bit to 64-bit. Only Windows Vista Ultimate comes with a DVD and product key for both editions."

Wrong-o :P

You can use Vista keys interchageably between both 32bit and 64bit. Vista, in fact, started this.

Also,

"The situation has fundamentally changed. I think, netbooks are the only reason that 32-bit will survive for some time. Some of these little toys’ CPU types simply don’t support 64-bit."

Almost all netbooks support 64bit. The Atom processor is a native x86-64 CPU like the Core2Duo's, etc.
